1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Ash Systems' website, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

2. Our Services

Ash Systems provides:

• Artificial Intelligence and Machine Learning solutions
• Web and software development services
• Data engineering and analytics platforms
• Cloud infrastructure and DevOps services
• Process automation and integration solutions
• Custom software development

Services are provided on a project basis, subscription model, or as otherwise agreed upon in writing. Specific deliverables, timelines, and pricing will be outlined in separate Service Agreements or Statements of Work.

3. User Accounts and Registration

3.1 Account Creation

To access certain Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to:

• Software, code, and algorithms
• Design, graphics, and user interfaces
• Text, images, and multimedia content
• Trademarks, logos, and branding

are owned by Ash Systems or our licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 Client Intellectual Property

Unless otherwise specified in a Service Agreement:

• Client retains ownership of their pre-existing intellectual property
• Custom deliverables become client property upon full payment
• Ash Systems retains rights to reusable components, frameworks, and methodologies
• We may showcase completed projects in our portfolio (with client approval)

5. Prohibited Uses and User Conduct

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malicious code, viruses, or harmful components
• Engage in unauthorized access or hacking attempts
• Interfere with or disrupt our Services or servers
• Collect or harvest user data without authorization
• Impersonate any person or entity
• Engage in spam, phishing, or fraudulent activities

6. Payment Terms

6.1 Fees and Billing

Payment terms are specified in individual Service Agreements or Statements of Work. Standard payment terms include:

• Project-based: Milestone payments or upfront deposits
• Subscription services: Monthly or annual billing cycles
• Hourly services: Invoiced monthly based on time tracking

6.2 Late Payments

Late payments may incur interest charges and may result in suspension of services. All fees are non-refundable unless otherwise stated in writing.

6.3 Price Changes

We reserve the right to modify our pricing with 30 days' notice for ongoing services. Changes do not affect existing fixed-price contracts.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of service delivery. This includes:

• Business strategies and financial information
• Technical specifications and source code
• Customer data and user information
• Trade secrets and proprietary methodologies

Confidentiality obligations survive termination of services and continue for a period of three (3) years unless otherwise specified.

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that:

• Services will be performed in a professional and workmanlike manner
• Deliverables will materially conform to specifications in Service Agreements
• We have the right to provide the Services

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that Services will be uninterrupted, error-free, or completely secure. You use our Services at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ASH SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR LOST PROFITS

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

10. Termination

10.1 Termination by Either Party

Either party may terminate Services with written notice as specified in the Service Agreement, typically:

• Project-based services: Upon completion or mutual agreement
• Ongoing services: 30 days' written notice
• Immediate termination for material breach

10.2 Effect of Termination

Upon termination:

• Client must pay for all services rendered up to termination date
• Ash Systems will deliver completed work products (upon full payment)
• Confidentiality obligations continue
• Licenses to use our Services terminate immediately

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Ash Systems operates, without regard to conflict of law principles.

11.2 Dispute Resolution

In the event of any dispute arising from these Terms:

1. Parties will attempt to resolve disputes through good-faith negotiation
2. If negotiation fails, disputes may be submitted to mediation
3. Either party may pursue legal remedies in appropriate courts

12. General Provisions

12.1 Entire Agreement

These Terms, together with any Service Agreements, constitute the entire agreement between you and Ash Systems.

12.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full effect.

12.3 No Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations to any party.
